ARTICLE I

Club Name

 

 

Section 1. Name

  1. The name of this organization shall be “the Fauquier County Young Republican Club” and shall be referred to as “the Club” for the remainder of the document.

 

ARTICLE II

Objectives

 

Section 1.  Objectives

The purpose of this club shall be:

  1. To develop and maintain a Fauquier County Young Republican organization
  2. To bring young people into the Republican Party, to provide an opportunity for political expression and recognition, to train political workers, and to provide a practical means by which they may contribute in the development and betterment of the Republican Party as a service to theUnited States of America, theCommonwealthofVirginiaand its political subdivisions.
  3. To educate the members of the club in Republican political strategy.
  4. To make known and to promote the line of political thought set forth by the platform of the Republican Party.
  5. To assist the Republican Party in the promotion of its candidates for office.
  6. To raise funds to facilitate the above.

 

ARTICLE III

Membership

 

All members of the Club, regardless of their membership status, must be willing to pledge his or her support to the Republican Party and this Club’s purpose as enumerate in Article II of these bylaws.

 

Section 1.  Active Members

  1. Shall carry full voice at all Club meetings and be eligible to vote at all Club meetings
  2. Shall be a resident or have voting residency in theCommonwealthofVirginia
  3. Shall be between and including the ages of eighteen (18) and forty (40)
  4. Shall not be an active club member of another Young Republican club, or College Republican club

Section 2.  Inactive Members

  1. Shall carry full voice at all Club meetings, but shall not be eligible to vote at Club meetings
  2. Shall be a former Active member
  3. Shall be between and including the ages of eighteen (18) and forty (40)
  4. Shall be eligible for reinstatement of Active status as defined in Article IV

Section 3.  Associate Members

  1. Shall carry a voice, subject to recognition by the Chairman, at all Club meetings, but shall not be eligible to vote at Club meetings
  2. Shall be eligible to serve as a non-voting member of any Club committee as defined in Article VIII

Section 4.  Honorary Members

  1. Shall carry a voice, subject to recognition by the Chairman, at all club meetings, but shall not be eligible to vote at Club meetings
  2. Shall be awarded Honorary status by not less than a majority vote of the Executive Board

Section 5. Expulsion

  1. The membership may, by a two-thirds (2/3) vote of those members present at a regular meeting, expel from the Club any member for any act or conduct deemed unfriendly or hostile to the best interests of the Club; provided that the Executive Board has reviewed such proposed action and has made a recommendation, and that such member has been notified by certified mail of the recommendation of the Executive Board at least one week prior to the meeting, and that such member has had the right to present a defense, either by himself/herself or through a representative.  Notice of the charges against the member and recommendation of the Executive Board must be included in the call of the meeting, and must be received by the membership at least seventy two (72) hours prior to the beginning of the meeting.

Section 6.  Member Contact Information

  1. The personal contact information o Active, Inactive, Associate, and Honorary Members (including, but not limited to, email addresses, physical addresses, date of birth, phone numbers, and websites) shall not be shared with any individual, campaign, or organization by Club leadership.

 

ARTICLE IV

Membership Dues

 

Section 1. Membership Dues

  1. New and renewing Active members shall remit ten dollars ($10) in annual Club dues to the Treasurer, or fifteen dollars ($15) if registering as a couple
  2. New and renewing Associate members shall remit five dollars ($5) in annual Club dues to the Treasurer.
  3. Honorary members shall not remit any annual Club dues

Section 2. New Members’ Dues Deadline

  1. New Active and New Associate members shall remit dues within thirty (30) days of joining the Club
  2. New members joining after August 1st shall remit pro-rated dues of five dollars ($5) within thirty (30) days of joining the Club; upon renewal, member(s) will be responsible for full amount of ten dollars ($10), or fifteen dollars ($15) for a couple

Section 3. Renewing Members’ Dues Deadline

  1. Renewing Active and Renewing Associate members shall remit dues by January 31 each year

Section 4.  Late Dues Penalty

  1. If a renewing Active or renewing Associate member has not remitted his or her Club dues within sixty (60) days of January 31, late Active members shall be deemed Inactive members and late Associate members shall be dropped from the Club.  Any Active member who has not remitted his or her Club dues with 180 days from January 31 shall be dropped from the Club.

Section 5.  Reinstatement

  1. Upon application to the Executive board for reinstatement and if receiving a majority vote of the Executive Board for good cause and full payment of Club dues, Inactive members shall be granted Active status and dropped Inactive and dropped Associate members may be reinstated, as appropriate.

 

ARTICLE V

Elected Officers

 

The elected officers of the Club shall be as follows:

 

Section 1. Chairman

The responsibilities of the Chairman shall be:

  1. Preside over all meetings of the Club and the Executive Board
  2. Be responsible for the administration of Club activities
  3. Have the powers and appointment and removal of the non-elected positions that are deemed necessary by the Executive Board
  4. Represent the Club (i.e. for media purposes, at Senior Party events such as County or City Committee meetings, et al)
  5. Maintain communications with the Young Republican Federation of Virginia
  6. Serve as an ex-officio member of all Club committees and receive copies of all Club committee communications
  7. Perform all other duties incidental to the office.

Section 2. Vice Chairman

The responsibilities of the Vice Chairman shall be:

  1. Serve as temporary Chairman if the Chairman is absent or unable to serve
  2. Be responsible for all reasonable tasks assigned by the Chairman
  3. Serve as an ex-officio member of all Club committees and receive copies of all Club committee communications
  4. If unable to attend to a task, shall contact the Chairman without delay

Section 3. Secretary

The responsibilities of the Secretary shall be:

  1. Keep accurate and updated lists of all members and attendance records
  2. Bring list of all members and planned club events to all Club meetings
  3. Record the business of the club and Executive Board meetings
  4. Furnish the Chairman with a typed summary of the minutes of the last meeting prior to the call-to-order of the next meeting or Executive Board meetings
  5. Place a copy of the Executive Board meeting and Club meeting minute summaries in a central file and maintain such file, which will be available for review by all Active members
  6. Any and all reasonable tasks assigned by the Chairman
  7. If unable to attend to a task, shall contact the Chairman without delay

Section 4. Treasurer

The responsibilities of the Treasurer shall be:

  1. Keep accurate and updated financial record of the Club, to be reported at each regular meeting, Executive Board meeting and at the request of the Chairman
  2. Collecting dues and other monies owed to the Club, writing receipts for those monies and pay out all Club funds as directed by the Executive Board
  3. Deposit such funds in a depository designated by the Executive Board and shall keep accounts thereof open at all times to inspection
  4. Submit an annual written report at the annual meeting as described in Article VII Section 3.
  5. Serve on the Finance Committee
  6. Any all and reasonable tasks assigned by the Chairman
  7. If unable to attend to a task, shall contact the Chairman without delay

 

ARTICLE VI

Executive Board

 

Section 1.  Members

  1. The Executive Board of the club shall consist of the aforementioned elected officers, and elected Young Republican Federation of Virginia (YRFV) officers in the Club, the immediate past Chairman, Parliamentarian, the District Representative(s) and all Standing Committee Chairs, provided that all are Active members of the Club.

Section 2.  Voting

  1. Only the elected Club members and the immediate past Chairman shall carry a vote on the Executive Board, though all Executive Board members shall carry a full voice at Executive Board meetings.
  2. No member of the Executive Board shall cast more than one vote. Proxies for voting members of the Executive Board can be carried by any Active member who does not ordinarily carry a vote on the Executive Board.  The Chairman shall be notified at least 72 hours in advance of any Executive Board proxy vote via email in addition to all Executive Board members.

Section 3.  Meetings

  1. Executive Board meetings shall be held at such times and places as the Board shall decide, and each Board member shall receive at least three days notice from the Chairman unless said notice is waived by a majority of the Board members.  A majority of the Executive Board shall constitute a quorum.

Section 4.  Absence

  1. Any elected officer who shall miss three (3) consecutive or eight (8) non-consecutive meetings and does not show cause within fifteen (15) days, shall be considered to have resigned from his or her office.

 

ARTICLE VII

Membership Meetings

 

Section 1. Meeting Dates

  1. The Executive Board must establish a schedule of regular membership meetings by the second week of the New Year.  Notice of the meetings shall be given to the general membership at least seventy-two (72) hours in advance of each meeting.

Section 2.  Special Meetings

  1. The Chairman or two-thirds of the whole Executive Board shall have the right to call special Club meetings when deemed necessary.  Written notice must be given to the membership of the Club at least one week in advance of any such meeting.  Such written notice shall contain a summary of the matters to be considered and only such matters shall be discusses.

Section 3.  Annual Meeting

  1. The annual meeting of the club shall be the regular meeting in January of each year.

Section 4.  Quorum

  1. A quorum shall consist of twenty five percent (25%) of all Active members or six (6) Active members, whichever is least
  2. A quorum shall be required to conduct all official business, specifically:
    1. Elections of Club officers
    2. Endorsing Candidates on behalf of the Club
    3. Passing Resolutions on behalf of the Club
    4. Amending the Club’s bylaws

 

ARTICLE VIII

Committees

 

Section 1.  Standing Committees

  1. The Club shall have the following standing committees in place and operation at all times:
  1. Social – responsible for organizing a number of social events for the Club to be determined by the Executive Board at it’s first meeting of the year
  2. Finance – responsible for raising money for the Club
  3. Membership – responsible for making and implementing a strategy to recruit new club members
  4. Campaign – responsible for coordinating and acting as liaison for the Club with local, state and national campaigns; organizing grassroots and campaign efforts for the Club to assist campaigns
  5. Communications – responsible for club newsletters, press statements, outreach to media, and club website

Section 2.  Committee Chair(s)

  1. The Chairman shall appoint a chairman for each standing committee with the approval of a majority of the Executive Board
  2. The Chairman shall have the authority to remove committee chairmen with the majority vote of the Executive Board

Section 3.   New Committee(s)

  1. The Chairman shall have the power to appoint and terminate ad-hoc committees with the approval of the Executive Board

 

ARTICLE IX

Elections, Officer Terms and Qualifications

 

Section 1.  Elections

  1. The election of Club officers shall be held no later than the fourth week of February, and no sooner than the meeting following the November general elections.  If extenuating circumstances occur, such as weather, the Executive Board shall call a special meeting as defined in Article VII Section 2. If those circumstances occur, the Chairman most notify members within fifteen (15) days of the new meeting date via email and post a related message on the facebook group site.

Section 2.  Elections Committee

  1. An elections chairman and committee shall be appointed by the Chairman and approved by the Executive Board.  No member of the elections committee may be a candidate for any Club office.  The committee shall be responsible for:
    1. Preparing the ballots to be used for voting
    2. Tabulating the results of said ballots
    3. Verifying candidate eligibility to seek office as outlined below
    4. Serving as timekeeper during the nominating and seconding speech process
    5. Serving as judge in all disputes concerning the election

Section 3.  Nominations

  1. The Chairman shall announce to the Club the procedures outlined herein for the elections the constitutional requirements for each office, and the criteria which must be met in order for a candidate to be eligible to seek office no later than thirty (30) days prior to nominations being accepted by the executive board
  2. Any active member may seek elected office by submitting to the election chairman a written statement of intent to seek office no later than thirty (30) days prior to the call-to-order of the elections meeting.  Elections chair shall close nominations as of thirty (30) days prior to the call-to-order of the elections.

Section 4. Eligibility

  1. All candidates for office must have been an active member in the club as defined in Article III Section 1 and been a member for no less than ninety (90) days for both regular meetings and at times when filling in open vacancy positions

Section 5. Voting

  1. Only Active members, as defined in Article III Section 1, as of thirty (30) days prior to the elections meeting will be eligible to vote in the election.  This is for administrative purposes to qualify those members eligible to vote.

Section 6. Ballots

  1. Voting in all contested races shall be by secret ballot.  No proxies shall be allowed.  Fifty percent (50%) plus one of the votes cast shall constitute a majority for election.  If a majority if not obtained on the first ballot, the two (2) candidates receiving the most votes will be the candidates in a runoff election held within the same election meeting

Section 7. Vacancies

  1. Any vacancy in an elected officer position prior to the regularly scheduled elections shall be filled by an election by the membership if more than six (6) months of the unexpired term remain.  If fewer than six (6) months remain, the vacancy shall be filled by an election of the Executive Board.
  2. The term of non-elected (appointed) officers shall expire upon the end of the Chairman’s term
  3. If an officer has been elected in a vacancy filled position for a non-regularly scheduled election, they then must run for reelection, if so desired, in the next regularly scheduled elections

Section 8.  Terms

  1. The term of elected officers shall begin after the club elections meeting ends.  The term shall last for two (2) years or until the bylaws call for an election.  There is a two (2) term limit to the number of terms to which a person may be reelected to Chairman.  There is no limit to the number of terms for other officers.  There is no limit to the number of terms the Chairman maybe reelected to other positions on the Executive Board.

Section 9. Uncontested Elections

  1. If any of the Executive Board elected positions are non-contested the Elections Committee chairman shall call for a voice vote and approved by majority of the Active members present at the elections meeting as defined above in Section 1.

ARTICLE X

Candidate Endorsement

Section 1.   Endorsement

  1. The Club shall not in any official capacity endorse or oppose the candidacy of any Republican running for office when opposed during a primary, convention, or canvass.

 

ARTICLE XI

Parliamentary Authority, Rules

Section 1.  Parliamentarian

  1. The Chairman may appoint a Parliamentarian to be approved by the Executive Board by a two-thirds majority
  2. The Parliamentarian shall have a voice, but not a vote on the Executive Board
  3. The Parliamentarian is responsible to ensure that General Membership and Executive Board meetings run justly and properly, first in accordance with the Club’s bylaws and second by Robert’s Rules of Order.  He or she shall intercede upon any infringement of said rules.  Recognition by the Chairman is not necessary for the Parliamentarian to execute his or her duties.

Section 2. Rules

  1. Meetings shall be held in an orderly, but informal manner that allows all members the opportunity to state their views.  Parliamentary procedure will be used for all elections, for the ratification of amendments to the constitution and bylaws, and in any meeting in which a majority of Active members vote to use it.

ARTICLE XII

State Affiliation and State Delegates

Section 1. Affiliation

  1. This Club is a member of the Young Republican Federation of Virginia, and shall be subject to the Constitution and bylaws of said Federation.

Section 2. Delegates

  1. The Chairman must submit a list of delegates to the Executive Board at least one (1) week prior to the YRFV State Convention, unless the YRFV bylaws state otherwise, and the list of delegates shall be approved by the Executive Board by a majority vote.

ARTICLE XIII

Amendments

 

Section 1. Amendment of Bylaws

  1. These bylaws may be amended by a two-thirds (2/3) vote of all Active members.

Section 2. New Amendment

  1. A proposed amendment to this Constitution shall be submitted in writing to the Secretary at any regular meeting, at which time it shall be read to the members.  It shall be voted upon at the next regular meeting.
  2. Written notice of the next regular meeting sent to all members shall contain notice of the proposed amendment to be voted upon,
  3. An amendment to this Constitution shall pass if receiving two-thirds (2/3) majority vote of those Active members voting at any regular meeting.

 

This Constitution is hereby adopted this 14th day of May, 2012.
